Terms of Service

1. About Us

Lumière ("we", "us", "our") is a software-as-a-service platform providing appointment booking and client management tools for beauty businesses. By accessing or using our platform, you ("the Customer") agree to be bound by these Terms of Service ("Terms").

These Terms constitute a legally binding agreement under the laws of England and Wales. If you do not agree to these Terms, you must not use the platform.

2. Definitions

"Platform" means the Lumière software application, website, and any associated services.

"Customer" means any individual or business entity that registers for and uses the Platform.

"End Users" means the customers of the Customer who interact with the Platform to book appointments.

"Subscription" means the paid plan selected by the Customer to access the Platform.

3. Subscription and Payment

Access to the Platform is provided on a subscription basis. Fees are charged monthly or annually as selected at signup. All prices are inclusive of VAT where applicable.

Payments are processed via a third-party payment provider. We do not store payment card details.

Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time through your account settings. No refunds are provided for partial billing periods.

4. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not use the Platform to store or transmit unlawful, defamatory, or infringing content, or in any manner that could damage, disable, or impair the Platform.

You are solely responsible for all data, content, and activity that occurs under your account.

5. No Guarantee of Uptime or Availability

The Platform is provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, regarding the availability, reliability, or continuity of the Platform.

We do not guarantee any specific level of uptime. The Platform may be unavailable at any time due to maintenance, technical failures, or circumstances beyond our control. We shall not be liable for any loss, damage, or inconvenience arising from downtime or unavailability of the Platform.

6. Disclaimer of Warranties

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Platform will be error-free, secure, or free from viruses or other harmful components. You use the Platform entirely at your own risk.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Lumière, its directors, employees, agents, affiliates, and licensors shall not be liable to you or any third party for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, revenue, data, goodwill, or business interruption) arising out of or in connection with your use of the Platform, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or your use of the Platform shall not exceed the total fees paid by you to us in the three (3) months preceding the claim.

Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

8. Indemnification

You agree to indemnify, defend, and hold harmless Lumière and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Platform, your breach of these Terms, or your violation of any applicable law or third-party rights.

9. Intellectual Property

All intellectual property rights in the Platform, including software, design, and content, remain the exclusive property of Lumière. You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform during your subscription period solely for your internal business purposes.

10. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, if we reasonably believe you have breached these Terms or are misusing the Platform.

Upon termination, your right to access the Platform ceases immediately. You may request an export of your data within 30 days of termination, after which we may delete it.

11. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by email or via the Platform. Continued use of the Platform after such changes constitutes your acceptance of the updated Terms.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
